ADLER Real Estate AG with conditions for reorientation and growth
Announcement pursuant to Section 15 of the Securities Trading Act (WpHG)
- Extraordinary general meeting will be asked for authorised capital
- Stock option programme for members of the board and employees is proposed
ADLER Real Estate AG, Frankfurt (WKN 500800, ISIN DE0005008007), meets important requirements for growth and reorientation of the company. An extraordinary general meeting on April 21, 2006 will be requested for authorised capital. The executive board shall be entitled to increase the capital stock of 10 Mio EUR by at the most 5 Mio EUR by investments in cash and/or in kind until April 20, 2011. If investments are contributed in kind the shareholders shall be excepted from subscription rights. The general meeting will furthermore be asked for the authorisation to grant stock options to employees and members of the board in a volume up to 500.000 subscribtion rights.
The authorised capital should enable the company to take chances in the real estate markets flexibly and at any time, especially to buy properties, companies or participations in companies.
